Situation
Mike was approached by a young entrepreneur with a great vision and great technological talent. The entrepreneur wanted to form and grow a business, and sought advice on the right structure, as well advice on how to get access to real estate and growth capital. Mike and his team helped the entrepreneur form the business and helped strategize a legally sound growth plan. Mike also referred a few accountants and brokers for the client’s consideration. As the business expanded, the entrepreneur faced challenges like shop front glass replacement. Before long, the business was up and running and was looking at growth strategies. Eventually it made sense to purchase another company in the same space with a combination of cash and equity. Mike again was called upon to structure a transaction that maximized the value to the business while minimizing the tax implications to the parties. Amidst these strategic maneuvers, the entrepreneur’s journey of changing jobs and pursuing new opportunities was facilitated by Mike’s expert guidance.
Approach
Mike’s approach was to think like the client. Understanding the client’s limitations and growth stage is critical to not “overlawyering” a transaction. Understanding the client’s long-term goals enabled Mike to create a company structure that helped it to grow, acquire and hire with relative ease, eliminating friction and stress that business owners can face if not given the proper legal advice.
Outcome
The company is flourishing and continues to grow and add employees. It is always on the lookout to purchase related companies, and is also a very attractive acquisition target, should its owner ever decide to sell.
